terms of service
For local causes
Issued by: creativeservices.be BV, with registered office at Bergstraat 27, 8800 Roeselare, Belgium, company number BE0843617314, hereinafter "STUTE" or "we".
These terms apply to every organisation, association, charity or other initiative (hereinafter the "Initiative") that creates a list on the STUTE platform (hereinafter the "Platform"), regardless of the country in which the Initiative is established. A separate Privacy Policy governs the processing of personal data and forms an integral part of these terms.
1. Scope
1.1 These terms apply to every Initiative that creates a list on the Platform to request products from affiliated Shops.
1.2 By creating an account or publishing a list, the Initiative accepts these terms.
1.3 These terms are drafted in Dutch. Where translated into other languages for international Initiatives, the Dutch version prevails in case of any discrepancy.
2. Account and registration
2.1 The Initiative is responsible for the accuracy and up-to-date status of the information it provides (name, contact details, legal form/status where applicable, country of establishment).
2.2 The Initiative is responsible for the confidentiality of its login credentials and for all activity carried out through its account.
3. Own content (texts and photos)
3.1 All texts, photos, logos and other content the Initiative places on the Platform (hereinafter the "Content") must:
- be lawfully usable by the Initiative (the Initiative holds the necessary rights, permissions or licences, including for any images of people);
- not be offensive, shocking, discriminatory, defamatory or otherwise unlawful;
- not conflict with the law applicable to the Initiative or to STUTE (including no incitement to hatred, no infringement of copyright or image/portrait rights, no misleading information).
3.2 The Initiative indemnifies STUTE against any third-party claim arising from Content placed by the Initiative.
3.3 STUTE may remove Content that does not comply with these terms, or suspend the account, without prior notice.
4. Use of the list
4.1 The Initiative uses the Platform only for its intended purpose: creating and sharing a list of products or needs, addressed to donors.
4.2 The Initiative may not use the Platform for commercial purposes unrelated to its own purpose, nor for purposes contrary to the law or public order.
5. Suspension and termination
5.1 STUTE may suspend or terminate an Initiative's access at any time, in particular in case of breach of these terms.
5.2 The Initiative may terminate the collaboration at any time and without notice period by sending an email to support@stute.app. There are no subscription or other recurring costs tied to the Platform, so termination has no further financial consequences.
6. Liability
6.1 STUTE is not a party to the "donation"/purchase concluded through a Shop and is not liable for the delivery, quality or conformity of the products.
6.2 STUTE is not liable for any direct or indirect damage (including loss of income, reputational damage or data loss) that the Initiative may suffer as a result of the use, suspension or termination of the Platform, except in case of fraud, wilful misconduct, or other liability that cannot be excluded under mandatory law. Where STUTE's liability is nonetheless established, it is limited to EUR 150 per damaging event, given that the Initiative pays no fee for the use of the Platform.
7. Intellectual property
The Platform, the software, the look & feel and the STUTE brand name remain the exclusive property of creativeservices.be BV. The Initiative retains the rights to its own Content, but grants STUTE a non-exclusive licence to display this Content within the Platform (and any promotional channels of STUTE), for the duration of the collaboration.
8. Changes to these terms
STUTE may unilaterally amend these terms. Amended terms are communicated via the Platform or by email and are deemed accepted upon continued use of the Platform; anyone who disagrees can terminate free of charge as set out in art. 5.2.
9. Force majeure
Neither party is liable for a failure resulting from force majeure (including internet disruptions, government measures, cross-border restrictions).
10. Governing law and competent court
These terms and any use of the Platform are, regardless of the Initiative's country of establishment, exclusively governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the courts of the district of Ghent, Kortrijk division.
11. Final provisions
If any provision is held to be void or unenforceable, the remainder of these terms shall remain in full force. The parties shall replace the void provision with a valid provision that most closely approximates the original intent.
